• Outside “In House” Counsel and consultant to plastic manufacturing business with annual sales in excess of $30 Million. Started from inception, participated in entity formation, shareholder agreements, shareholder buy-out, corporate financings, real estate acquisition and lease, equipment purchase and rental, employee contracts, employee matters, litigations and related matters.
• Acquisition of retail business including review of acquisition agreement, assisting with due diligence and creating documentation for investors.
• Creation of tax lien investment vehicle including entity structure and operating agreement of managing member, assisting in creation of private placement memorandum, negotiating and closing $25 Million financing and subsequent $20 Million financing.
• Acquisition and later sale of gas station property with underlying real estate including creation of acquisition documents.
• Sale of two related airplane parts businesses including review of sales agreement and negotiation and preparation of closing documents.
